End User License Agreement

This End User License Agreement (“EULA”) governs your licence to install and use the GLMetrics server modification and the Game Logic software (the “Software”), provided by SIA “TOP VOICE” (registration No. 41203035504, Latvia). Your use of the hosted Game Logic services, and all billing and subscription matters, are governed by our Terms of Service.

1. Acceptance

By subscribing to a Game Logic plan, or by downloading, installing, or running the Software, you acknowledge that you have read, understood, and agree to be bound by this EULA. Subscribing constitutes acceptance of this EULA. If you do not agree, do not subscribe to, download, install, or use the Software.

2. Relationship to the Terms of Service

This EULA governs your licence to the Software. Your use of the Game Logic hosted services, your account, billing, and your subscription are governed by the Terms of Service, and the processing of personal data by the Privacy Policy. In the event of a conflict, this EULA prevails for matters concerning the licence to the Software, and the Terms of Service prevail for all other matters.

3. Licence grant

Subject to your continuous compliance with this EULA and an active, paid Game Logic subscription (or a current free trial), Top Voice grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and run the Software on game server(s) that you own or lawfully operate, solely to pair those server(s) with the Game Logic platform for your own server-management purposes. The licence lasts for, and ends with, your subscription.

4. Licence restrictions

Except as expressly permitted by this EULA or by applicable mandatory law, you shall not, and shall not allow any third party to:

  • sell, rent, lease, lend, sublicense, distribute, or otherwise make the Software available to any third party;
  • copy the Software except as strictly necessary to install and run it as licensed, or as permitted by Section 5;
  • modify, adapt, or create derivative works of the Software;
  • reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except, and only to the extent, that this cannot lawfully be prohibited under applicable mandatory law (see Section 5);
  • remove, alter, or obscure any proprietary notices; or
  • circumvent, disable, or interfere with any licensing, authentication, or technical protection measures of the Software or the Game Logic services.

5. Your statutory rights as a lawful user

Nothing in this EULA limits or excludes any rights you have under mandatory applicable law that cannot be excluded by contract. In particular, where Directive 2009/24/EC (or its national implementation, including Latvian copyright law) applies, you retain your statutory rights as a lawful user to make a back-up copy where necessary for your use, to observe, study, and test the functioning of the Software to determine the ideas and principles underlying it, and to decompile the Software to the extent indispensable to achieve interoperability with independently created programs, subject to the conditions of that Directive. Any provision of this EULA that conflicts with those rights does not apply to that extent.

6. Intellectual property

The Software and the Game Logic platform — including all source and object code, designs, structure, user interfaces, documentation, and the “Game Logic” and “GLMetrics” names and logos — are and remain the exclusive property of Top Voice and its licensors, and are protected by copyright and other intellectual-property laws. This EULA grants you a limited licence to use the Software; it transfers no ownership. All rights not expressly granted are reserved.

7. Acceptable use

You shall use the Software only in compliance with this EULA, all applicable laws, and all terms governing the game and platform on which the Software runs. You shall not use the Software to violate any third-party rights, to harm, disrupt, or gain unauthorised access to any system, or in any unlawful manner.

8. DayZ & Bohemia Interactive terms

The Software includes a modification that runs on DayZ, a game owned and operated by Bohemia Interactive a.s. (“Bohemia”). Your installation and operation of the Software is conditional on, and does not replace, your separate compliance with all applicable Bohemia terms, including the DayZ End User License Agreement, the Game Content Usage Rules, and the Server Monetization Rules. You acknowledge that any commercial or monetised operation of a DayZ server is permitted only as, and where, Bohemia expressly allows (including its registration and approval requirements), and you are solely responsible for obtaining any approvals Bohemia requires. Nothing in this EULA grants you any rights in DayZ or any Bohemia content, authorises any monetisation, or permits you to redistribute, resell, or reverse engineer the Software or any Bohemia files. Top Voice is not affiliated with, endorsed by, or sponsored by Bohemia.

9. Third-party & open-source components

The Software may incorporate third-party or open-source components that are licensed under their own terms. Those terms govern your use of the respective components and, to the extent of any conflict, prevail over this EULA for those components only. Top Voice makes no warranty in respect of third-party components.

10. Updates

Top Voice may from time to time provide updates, patches, bug fixes, or new versions of the Software, including to maintain compatibility with the underlying game. Updates are licensed under this EULA. Some updates may be required for continued operation or pairing with the Game Logic services, and we may cease supporting prior versions. For consumers, we will supply any updates necessary to keep the Software in conformity, as required by applicable law.

11. Warranty disclaimer

Except as expressly stated and to the maximum extent permitted by applicable law, the Software is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the Software will be uninterrupted, error-free, or compatible with any particular configuration. Nothing in this Section affects any statutory rights or guarantees you have as a consumer that cannot be excluded or limited under applicable law.

12. Limitation of liability

To the maximum extent permitted by applicable law, Top Voice shall not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profit, revenue, data, or goodwill, arising out of or relating to the Software; and our total aggregate liability relating to the Software shall not exceed the amounts you paid for the subscription giving access to the Software in the 12 months before the event giving rise to the liability. Nothing in this EULA excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded or limited under applicable mandatory law, including mandatory consumer-protection law.

13. Term & termination

This EULA takes effect when you first accept it and continues for as long as you hold an active Game Logic subscription or trial. The licence granted in Section 3 terminates automatically when your subscription expires or is cancelled. We may suspend or terminate the licence with immediate effect if you materially breach this EULA. On termination, you must stop using the Software and delete or uninstall all copies in your possession or control, except any back-up copy you are entitled by law to retain. Sections 6, 9, 11, 12, and 14 survive termination.

14. Governing law

This EULA is governed by the laws of the Republic of Latvia, without regard to its conflict-of-laws rules, and the courts of Latvia have jurisdiction. If you are a consumer resident in the EU/EEA, you also benefit from the mandatory consumer-protection provisions of the law of your country of residence, and this choice of law does not deprive you of that protection. If any provision of this EULA is held invalid or unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions shall remain in full force.
